We Scale Creators LLC acts as a marketing and operational partner supporting certain aspects of the Company's programs and services. References to "Company" within limitation of liability, indemnification, and other protective provisions include We Scale Creators LLC and its respective owners, officers, directors, employees, contractors, affiliates, agents, successors, and assigns.

These Terms govern your access to and use of the Company's free trainings, digital products, educational programs, content, resources, and online platforms, including but not limited to:

The free live training with Ben Kelly ("Live Training")

The VIP Upgrade, including the private VIP session held after the Live Training ("VIP Room") and the VIP recordings

 - The Acquisition Profits System

 - The Acquisition Profits Accelerator

 - Any associated bonuses, templates, calculators, downloadable materials, or resources

 - Access to the online course platform or other digital platforms used to deliver the Programs

(collectively, the "Programs" or "Services").

By registering for, purchasing, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you may not access or use the Services.

The Services are provided to customers located within the United States and internationally where permitted by applicable law. The giveaway described in Section 20 is limited to U.S. residents.

Free Live Training Overview: A free online training with Ben Kelly on buying cash-flowing businesses, held live on Thursday, October 29, 2026 at 7:00 PM ET and running about 75 minutes. Registration is free and no purchase is required to attend.

VIP Upgrade Overview: An optional paid upgrade available from registration until the Live Training starts. It includes (a) access to the VIP Room with Ben Kelly, held right after the Live Training, about 8:15 PM ET, for about 30 minutes; (b) full access to the Acquisition Profits Accelerator; and (c) recordings of the Live Training and the VIP Room. 4. Educational Nature of Services

The Programs and Services provided by the Company are educational and informational in nature. The content provided within the Programs may include information related to:

 - finding businesses for sale, on-market and off-market

 - approaching and negotiating with business owners and brokers

 - evaluating and analyzing deals

 - financing structures, including SBA loans, seller  financing, and investor partnerships

 - letters of intent, due diligence, and closing

running a business after the purchase, including  working with existing teams

 - general business building and wealth-building concepts

However, the Programs do not constitute financial advice, investment advice, tax advice, or legal advice and are not intended to recommend, solicit, or endorse any specific financial transaction, investment, business purchase, or business activity. This includes listing reviews in the Live Training or VIP Room and calls with our team.

Participation in the Programs does not replace professional advice from a licensed financial advisor, accountant, attorney, or other qualified professional. Users should consult their own professional advisors regarding any business or financial decisions.

Registering for, accessing, or purchasing the Programs does not establish a fiduciary relationship, advisory relationship, or any professional-client relationship between you and:

Individual results from the Programs will vary. The Company makes no guarantees regarding business results, income levels, revenue figures, cash flow, financial outcomes, or profitability.

 - the skill and stability of the existing team in the business you buy

 - individual experience and skill level

 - adherence to recommended strategies

 - market conditions, competition, and economic factors

 - the accuracy of any business listing or information provided by a seller or broker

 - the terms, conditions, or service quality of any third-party vendor or service provider

 - any financial losses resulting from the use of third-party services

Any decisions related to lenders, brokers, vendors, or service providers should be made based on the participant's own due diligence.

By agreeing to these Terms, you represent that you are at least 18 years old, or at least the age of majority in your state or province of residence.

You may not use the Programs or Services for any illegal or unauthorized purpose, nor may you, in the use of the Services, violate any laws in your jurisdiction (including but not limited to copyright laws).

A breach or violation of any of these Terms will result in an immediate termination of your access to the Services.

Accurate Information: Participants must provide accurate details during registration, including a valid email address. Links to the Live Training and VIP Room are sent to the email address you register with.

Personal Use: Live Training and VIP Room links and login details are for your personal use and may not be shared or posted.

Account Termination: Accounts and access may be terminated for providing false information or engaging in prohibited activities.

Schedule Changes: We may change the date, time, length, format, or presenters of the Live Training or VIP Room, or reschedule them, because of technical issues, illness, or other events outside our control. If we do, we will notify registrants by email.

Live Questions: Questions are answered at our discretion. We do not guarantee that every question will be answered during the Live Training or VIP Room.

Listing Reviews: VIP Upgrade purchasers may submit a business listing, or the type of business and city they would buy in, for possible review in the VIP Room. Ben Kelly selects the listings he reviews ahead of time. Submitting a listing does not guarantee that it will be reviewed.

Free Replay: The free replay of the Live Training is available until Sunday, November 8, 2026 at 11:59 PM ET, after which it is removed.

VIP Recordings: VIP Upgrade purchasers receive ongoing access to the recordings of the Live Training and the VIP Room for as long as we continue to offer the Program. We will give reasonable notice by email before retiring these recordings.

Technical Requirements: You are responsible for your own internet connection, device, and software. We are not responsible for missed sessions caused by your technical issues.

No Obligation: Attending the Live Training, the VIP Room, or a call with our team does not obligate you to purchase anything.

Free Calls: Participants may book a free call with a member of our team. Calls are subject to availability and may be rescheduled or cancelled by either party.

Call Recording: Calls with our team may be recorded for quality, training, and record-keeping purposes. By booking and joining a call, you consent to it being recorded. If you do not consent, tell the team member at the start of the call.

Other Programs: These Terms do not cover any coaching or mentorship program that may be offered on a call. Any such program is governed by the agreement provided at the time of enrollment.

Upon purchase of a Program, participants may receive access to an online course platform or other digital platform used to deliver course materials, resources, recordings, and educational content. Access may include video modules, downloadable resources, templates, calculators, scripts, bonus content, and other program tools.

Platform access is granted as a limited, revocable, non-transferable license for personal use only. The Company reserves the right to modify or discontinue platform access at any time, subject to the notice described in Section 11 for VIP recordings.

Recording Consent: The Live Training and VIP Room are recorded. By attending, you consent to the recording of the sessions, including your name or display name, any questions, chat messages, or poll responses you submit, and your voice or image if you turn on your microphone or camera.

Use of Recordings: We may use these recordings for replays, VIP recordings, training materials, and marketing. If you do not want your name or questions included, use only your first name and do not turn on your camera or microphone.

Submitted Content: When you submit a listing, question, or other information to us ("Submitted Content"), you give us a non-exclusive, royalty-free license to use, display, and discuss it during the Live Training, the VIP Room, and in the recordings.

Confidential Information: Do not submit information you are not allowed to share, including information covered by a non-disclosure agreement with a seller or broker. You are responsible for the Submitted Content you provide.

Participants agree to conduct themselves respectfully and professionally during all Program sessions, including the Live Training chat and the VIP Room, in any online community associated with the Programs, and in all communications. Prohibited conduct includes, but is not limited to:

 - harassment, abusive, or disruptive behavior

 - spamming the chat or spreading misinformation

 - providing personalized financial or investment advice to other participants

 - soliciting participants, including pitching deals, services, or investments

 - hacking, reselling or sharing Program access, or recording or redistributing the Live Training or VIP  Room without permission

The Company reserves the right to remove participants from any session or community, or terminate Program access, for violations of these standards.

All content provided through the Programs is the intellectual property of El Kei Communications LLC dba Acquisition Ace. This includes, but is not limited to:

 - the Acquisition Profits System and Acquisition Profits Accelerator curriculum and methodology

 - the Live Training, VIP Room, and their recordings

 - Program videos, documents, and training materials

 - business frameworks, strategies, and educational methodologies

 - proprietary templates, scripts, calculators, and resources provided as part of the Programs

Participants are granted a limited license for personal, non-commercial use only. Participants may not reproduce or distribute Program materials, share login access, resell or sublicense Program content, create derivative works based on the Programs, or use the Programs for commercial teaching or resale purposes. Unauthorized use may result in termination of access and legal enforcement.

Program Cost: As listed on the website at the time of purchase.

Payment Methods: Accepted methods include credit cards, debit cards, and other listed options. All payments are processed through third-party payment processors.

Authorization: By completing a purchase, you authorize the Company to charge your selected payment method for the applicable purchase amount.

Billing Descriptor: Charges appear on your statement under the Acquisition Ace name.

90-Day Money-Back Guarantee (Acquisition Profits System and Acquisition Profits Accelerator purchased on their own): Refunds may be requested within 90 days of purchase for either program, provided that the participant has completed no more than 50% of the program content.

30-Day Money-Back Guarantee (VIP Upgrade): Refunds of the VIP Upgrade may be requested within 30 days of purchase, with no proof of participation required. This 30-day guarantee also applies to the Acquisition Profits Accelerator access included with the VIP Upgrade.

By purchasing the Program, you agree:

 - Chargebacks initiated beyond 30 days will be contested.

 - We will provide purchase records and activity logs in any dispute.

 - You waive the right to pursue chargebacks after this period unless required by law.

  - You will contact the Company to try to resolve any issue before initiating a chargeback.

In the event of a chargeback, access to the Programs may be terminated, evidence of your agreement to these Terms may be submitted in dispute proceedings, and the Company may pursue recovery of associated costs where permitted by law.

Any giveaway connected to the Live Training is governed by its Official Sweepstakes Rules, posted on our website. No purchase is necessary to enter or win, and a purchase, including the VIP Upgrade, does not increase your chances of winning.

Data Usage: Personal data is collected solely to provide services and improve user experience.

Third-Party Sharing: Data will not be shared or sold except as necessary for service delivery.

To the fullest extent permitted by law, the Company and We Scale Creators LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of the Programs. This includes, without limitation:

 - business losses or financial losses

 - financial outcomes, cash flow, or income results

 - business purchase, financing, or other financial  decisions made by participants

 - reliance on educational materials, listing reviews, or calls with our team

 - use of any third-party platform, lender, broker, or service provider

The Company's total liability for any claim related to the Programs shall not exceed the total amount paid by the participant for the applicable Program.

By registering for, purchasing, accessing, or using the Programs, you agree to indemnify, defend, and hold harmless El Kei Communications LLC dba Acquisition Ace, Ben Kelly, We Scale Creators LLC, and their respective owners, officers, directors, employees, contractors, affiliates, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

 - your use of the Programs or reliance on Program materials

 - your business activities, acquisition decisions, or financial losses

 - Submitted Content you provide, including any listing or seller information you share

 - your violation of these terms or any applicable law or regulation

 - any dispute between you and any third-party platform, lender, broker, seller, or service provider

THE PROGRAMS AND SERVICES ARE PROVIDED "AS IS," "WITH ALL FAULTS," AND "AS AVAILABLE." THE COMPANY AND ITS AGENTS AND LICENSORS CANNOT AND DO NOT WARRANT THE ACCURACY, COMPLETENESS, USEFULNESS, TIMELINESS, NONINFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE OF THE INFORMATION AVAILABLE THROUGH THE PROGRAMS.

YOU AGREE THAT YOUR USE OF THE PROGRAMS IS AT YOUR SOLE RISK. THE COMPANY DOES NOT GUARANTEE THAT THE PROGRAMS, INCLUDING THE LIVE TRAINING, WILL BE ERROR-FREE, CONTINUOUSLY AVAILABLE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, USA, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its applicable arbitration rules.

Arbitration shall be conducted on an individual basis. Class actions, collective actions, or representative proceedings are not permitted.

The arbitration decision shall be final and enforceable in any court of competent jurisdiction. You consent to the jurisdiction of federal and state courts within the State of Florida for any matters not subject to arbitration.

The Company reserves the right to modify these Terms at any time. Updated Terms will become effective upon posting on the Company's website or within the member area. Participants will be notified of significant changes via email. Continued use of the Services after modifications constitutes acceptance of the revised Terms.

Consent: By registering for the Programs, including the free Live Training, participants consent to receive marketing materials and communications related to Ben Kelly's current or future offerings.

Opt-Out: Participants can opt out of receiving marketing communications by replying "STOP" to SMS messages or clicking "Unsubscribe" in emails.

By providing your mobile phone number and opting in, you consent to receive recurring text messages from El Kei Communications LLC dba Acquisition Ace related to the Live Training (including reminders), your account, program updates, and promotional offers. Consent to receive these messages is not a condition of any purchase.

Message Frequency: Message frequency varies.
